The Institute of Corporate Law and Corporate Governance (the “Institute”) was launched in 2000 as a spin-off of efforts to develop an investor protection system and upgrade the corporate governance culture in Russia.
It was organized by Alexander Radygin, a member of the Board of Directors and the Learned Council of the Institute of an Economy in Transition, and Dmitry Vasilyev, the first Chairman of the Russian Federal Commission for the Securities Market. Mr. Radygin is internationally acclaimed as a leading Russian expert on corporate governance, while Mr. Vasilyev, credited for his part in bringing about a civilized stock market in Russia, is also widely known for his active stand in campaigning for investor rights in Russia.
The Institute sees its mission in facilitating private initiatives to improve corporate governance practices and protect investor rights.
Priority aspects of its work include:

expert evaluation of corporate governance arrangements at major Russian companies;

continuous rating of businesses for the quality of their corporate governance;

consultations to Russian and foreign investors, companies and professional participants in the securities market on various aspects of corporate governance, including corporate restructuring.
As an independent think-tank, the Institute is involved in drafting legislative acts and assessing institutional and legal reforms and other government acts undertaken to better the corporate governance environment in Russia.
It draws on advisory support from such international organizations as the European Bank for Reconstruction and Development, International Finance Corporation, George Soros’s Open Society Institute, and State Street Global Advisers.
